Summary
This case discusses the crisis in Infrastructure Leasing & Financial Services Ltd (IL&FS), which occurred due to both internal and external factors, and focuses on the challenges faced by the new board in solving the crisis. The board had many options before it; however, the magnitude and urgency of the problem meant that the board had to decide on a course and act fast. The crisis had its genesis in lax corporate governance practices in the company; changing business environment factors further contributed to it.The case examines the challenges faced by infrastructure projects and their financing in India and analyses the internal and external factors that contribute to the long-term survival of the business. It attempts to show how changing external factors (business environment) affects a company's working, and if not dealt with proactively, can even affect its very survival. The case also highlights the role of corporate governance in the proper functioning of a company.
